Corporate Law Ms. Kelly’s corporate law practice involves doing private placements; shareholder agreements, corporate reorganizations, and estate freezes. Her commercial practice involves carrying out a variety of contract negotiations, mainly in the technology sector, as well as acting in relation to asset purchases and share purchases. Intellectual Property Ms. Kelly has acted as legal counsel in drafting and negotiating technology transfer and intellectual property licenses within IT and biotech sectors. She advises companies on copyright issues and many information-based companies on proprietary, development, patent, maintenance and licensing issues as well as related business issues, such as corporate structure and financial matters. Privacy and Electronic Commerce Ms. Kelly has expertise in privacy and management of personal information. With knowledge of the various legal issues associated with the Internet, including domain names, copyright infringement, security, privacy, data protection, and on-line contracting, Ms. Kelly advises clients on the major issues involved with doing business electronically.
