William is an associate in the St. John’s office of Cox & Palmer. William has a corporate and commercial practice focusing on mining, corporate finance, commercial real estate, and fisheries & marine. William’s experience includes:
Mining – the acquisition, disposition and restructuring of mining companies including corporate and environmental due diligence; the purchase and sale of specific mining assets including mining leases, mineral licences and royalty interests including corporate and title opinions with respect to same; project financing including drafting relevant security documents and flow-through share offerings; negotiating and drafting various agreements including royalty agreements, purchase agreements, assignment agreements, option agreements and joint venture agreements; securities matters particular to junior mining companies; dealing with local communities and indigenous peoples; and mining taxation.
Corporate Finance – advising financial institutions and corporate borrowers on financings and secured transactions; and representing financial institutions on security enforcement, debt collections and judgment enforcement.
Commercial Real Estate – the purchase, sale and development of commercial properties and due diligence in relation to same; the creation and financing of commercial condominiums; the negotiation and drafting of commercial leases; and acting for commercial landlords in lease enforcement including distraint.
Fisheries & Marine – the purchase and sale of vessels both domestically and internationally; chartering of vessels; advising financial institutions and other lenders in relation to the financing of vessels and fishing enterprises; advising secured lenders in relation to security enforcement; and advising trustees in bankruptcy and receivers in relation to fishing enterprises and fishing licences.
In addition to his legal endeavors, William is a private pilot and an officer in the CIC, a branch of the Canadian Forces Reserves.
